1. Agreement
By purchasing or using any service provided by Akira Systems Ltd ("Scalenexa", "we", "us"), you ("Client", "you") agree to be bound by these Terms of Service. If you do not agree, please do not proceed with any purchase.
2. Services
Scalenexa provides digital services including but not limited to: business coaching and consulting, digital marketing, content, website development, app development, and content strategy. The specific deliverables, timeline, and scope for each engagement are as described in the selected package and any supplementary agreement or statement of work.
3. Payment
- All prices are quoted in US Dollars (USD) unless otherwise stated.
- Payment is due in full at the time of purchase for one-time packages.
- All services are one-time purchases — there are no subscriptions or recurring charges.
- Payments are processed securely via our payment processor. Scalenexa does not store card details.
- All fees are exclusive of applicable taxes. Clients are responsible for any applicable taxes in their jurisdiction.
4. Delivery & Onboarding
Following successful payment, Scalenexa will contact the client within 48 hours to schedule an onboarding call and confirm project scope. Timelines for deliverables will be agreed during onboarding. Delays caused by the client's failure to provide required information or access will not be the responsibility of Scalenexa.
5. Client Responsibilities
- Provide accurate business information and timely responses to requests
- Grant necessary access to platforms, accounts, and assets required for service delivery
- Review and provide feedback on deliverables within agreed timeframes
- Ensure all content provided to Scalenexa does not infringe third-party intellectual property rights
6. Intellectual Property
Upon full payment, the client owns all custom deliverables created specifically for them (e.g. website code, content, designs). Scalenexa retains the right to use general methodologies, frameworks, and tools developed independently. Scalenexa may reference the engagement in its portfolio unless the client requests otherwise in writing.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement and not to disclose it to third parties without written consent.
8. Limitation of Liability
Scalenexa's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3 months preceding the claim. Scalenexa is not liable for indirect, consequential, or incidental damages including lost profits or business interruption.
9. Warranties
Scalenexa warrants that services will be performed with reasonable skill and care. We do not guarantee specific outcomes such as search engine rankings, revenue increases, or advertising performance, as these depend on many factors outside our control.
10. Termination
Either party may terminate the engagement with 30 days' written notice. Scalenexa may terminate immediately for non-payment or material breach of these terms. Upon termination, the client will receive all completed work-in-progress deliverables.
11. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes
Scalenexa reserves the right to update these terms. Continued use of services after notification of changes constitutes acceptance.
13. Credit Checks
You authorize us and the service providers we work with to obtain a consumer credit report and credit score about you from a consumer reporting agency such as Equifax, using the details you give us (your name, telephone number and address). This authorization is your written instruction to us under the US Fair Credit Reporting Act. We use it only to check your eligibility for our services and offers and to tailor what we recommend to you. These are soft inquiries: they do not affect your credit score, and lenders do not see them. We do not sell this information. You may withdraw this authorization at any time using the contact details below, and we will stop.
